1. Definitions
“Template” means the Vela Calendar Dashboard Template and its included source files, documentation, and bundled assets.
“Licensee” means the individual or legal entity that purchased or otherwise validly acquired this license.
“End Product” means one distinct, customized final website, calendar, application, dashboard, or other implementation created using the Template for the Licensee or for one client.
2. License Grant
Subject to this license and payment of any applicable purchase price, Rubayath Media LLC grants the Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to use and customize the Template to create one End Product. One purchased license covers one End Product for the Licensee or one client. Each additional End Product requires an additional license.
3. Permitted Uses
The Licensee may customize the Template’s code, layout, styling, content, event data, images, colors, and branding. The Licensee may deploy, publish, and commercially operate the resulting End Product, including an End Product created for one client.
4. Team, Contractor, and Client Access
The Licensee may provide access to employees and contractors solely as needed to create, test, maintain, or deploy the licensed End Product. Those persons must comply with this license, and the Licensee remains responsible for their use of the Template.
The Licensee may hand off the completed End Product and its project files to the client for whom that same End Product was created. The client may use and maintain only that End Product and may not reuse the Template to create another End Product or distribute it separately.
5. Restrictions
The Licensee may not:
- resell, redistribute, sublicense, share, upload, publish, or give away the Template, substantially unmodified source files, or access to them;
- offer the Template as part of a template pack, theme collection, UI kit, starter kit, component library, or similar source-file collection;
- use the Template to create a competing downloadable template, theme, UI kit, component, or other product whose primary value is the Template or its source;
- include the Template in any product or service that enables users to access, download, extract, export, or reuse the Template source; or
- use one license for more than one End Product.
6. Ownership
Rubayath Media LLC retains all right, title, and interest in and to the Template. This license grants limited usage rights only and does not transfer ownership of the Template or its original source and design.
7. Third-Party Assets and Demo Content
Third-party fonts, images, icons, libraries, services, and other assets are governed by their respective licenses and terms. The Licensee is responsible for confirming that its intended use complies with those terms.
All demo and placeholder content, including event data, names, notifications, agenda items, calendar details, images, links, and sample copy, must be reviewed and replaced as appropriate before production use. The Licensee is solely responsible for the accuracy, legality, rights clearance, and regulatory compliance of the End Product’s final content and operation.
8. Support and Updates
No support, maintenance, updates, upgrades, or compatibility fixes are promised unless the applicable purchase listing expressly states otherwise.
9. Termination
This license terminates automatically upon breach. Upon termination, the Licensee must stop using the Template and delete all copies under its control, except where retention is required by law. Provisions concerning restrictions, ownership, disclaimers, liability, and general terms survive termination.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TEMPLATE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, OR COMPATIBILITY. RUBAYATH MEDIA LLC DOES NOT WARRANT THAT THE TEMPLATE OR END PRODUCT WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR SUITABLE FOR ANY PARTICULAR LEGAL, REGULATORY, OR BUSINESS REQUIREMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUBAYATH MEDIA LLC AND TECH & ALL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, OR USE, ARISING FROM OR RELATED TO THE TEMPLATE OR THIS LICENSE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE TEMPLATE OR THIS LICENSE WILL NOT EXCEED THE AMOUNT THE LICENSEE PAID FOR THE TEMPLATE.
12. General Terms
If any provision of this license is held unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will remain in effect. A failure or delay in enforcing any provision is not a waiver. Any mandatory terms of the marketplace or platform through which the Template was purchased also apply; if a mandatory marketplace term conflicts with this license, that mandatory term controls only to the extent of the conflict.
